Introduction
This Payment Processing Agreement (the "Payment Processing Agreement" or this "Agreement"), effective as of the date of Merchant's acceptance ("Effective Date"), is entered into by and between Lemma Technologies, Inc. (the "Platform" or "Lemma") and the customer accepting this Agreement ("Merchant"). This Agreement supplements, is incorporated into, and forms a part of the Lemma Platform Agreement available at https://getlemma.com/lemma-platform-agreement. Capitalized terms not defined here have the meanings given in the Lemma Platform Agreement.
This Payment Processing Agreement (the "Payment Processing Agreement" or this "Agreement"), effective as of the date of Merchant's acceptance ("Effective Date"), is entered into by and between Lemma Technologies, Inc. (the "Platform" or "Lemma") and the customer accepting this Agreement ("Merchant"). This Agreement supplements, is incorporated into, and forms a part of the Lemma Platform Agreement available at https://getlemma.com/lemma-platform-agreement. Capitalized terms not defined here have the meanings given in the Lemma Platform Agreement.
Processing Services
In addition to its core services offering, Platform offers embedded payment processing services, which include credit card, debit card, ACH, and other payment processing services, as may be offered from time to time (collectively, the "Processing Services"). The Processing Services allow Merchant to accept payments from its patients and customers through the Lemma platform.

Fees and Taxes
Related to the Processing Services, Platform will charge Merchant according to the fees listed below ("Processing Fees"). All Processing Fees payable under this Agreement are exclusive of taxes.
Card Transaction Volume Fee: 3.75%
Chargeback, ACH Return, and Dispute Fee: $25.00
If Merchant has an alternative pricing agreement with Platform, that agreement governs Merchant's pricing in place of the standard rates above.
Related to the Processing Services, Platform will charge Merchant according to the fees listed below ("Processing Fees"). All Processing Fees payable under this Agreement are exclusive of taxes.

Fair Use Policy
Platform may increase the Card Transaction Volume Fee if Merchant's (a) American Express credit card payment dollar volume exceeds twenty percent (20%) of total monthly credit card payments; (b) corporate credit card payment volume exceeds ten percent (10%) of total monthly credit card payments; or (c) credit card payments for transaction amounts greater than one thousand dollars ($1,000.00) exceed three percent (3%) of total monthly credit card payments. Such increases become effective only after Platform provides Merchant written notice setting forth the changes.

By using the Processing Services, Merchant agrees to the Processing Terms and Conditions available at https://legal.rainforestpay.com/processingterms, which may be amended at any time on notice.

Relationship to the Lemma Platform Agreement
This Payment Processing Agreement is incorporated into and forms a part of the Lemma Platform Agreement. In the event of a conflict between this Agreement and the Lemma Platform Agreement with respect to the Processing Services, this Agreement controls. Merchant's use of the Processing Services also remains subject to the eligibility, security, prohibited use, indemnification, disclaimer, limitation of liability, and dispute resolution provisions of the Lemma Platform Agreement.

Term and Termination
The term of this Payment Processing Agreement begins on the Effective Date and continues until terminated by either party. Platform may suspend or terminate Merchant's access to the Processing Services as provided in the Lemma Platform Agreement. Sections that by their nature should survive termination will survive, including accrued payment obligations, chargeback and return liability, and indemnification.

Amendments
Platform may update this Agreement from time to time by posting an updated version at https://getlemma.com/payment-processing-agreement. Continued use of the Processing Services after changes take effect constitutes acceptance of the updated Agreement.

Acceptance
Merchant accepts this Payment Processing Agreement by indicating acceptance during onboarding, by executing an order form or application referencing this Agreement, or by using the Processing Services, whichever occurs first. The individual accepting on behalf of Merchant represents that they are authorized to bind Merchant to this Agreement.
