This agreement between Lemma Technologies, Inc. (referred to as “Platform” or “Lemma”) and the accepting customer (the “Merchant”) supplements the Lemma Platform Agreement at https://getlemma.com/lemma-platform-agreement. This agreement becomes effective upon the Merchant's acceptance date.
The Platform delivers embedded payment processing services encompassing credit card, debit card, ACH, and other payment options. These services enable Merchants to accept patient and customer payments via the Lemma platform.
Alternative pricing arrangements supersede these standard rates if established.
The Platform may adjust the Card Transaction Volume Fee upward when: (a) American Express volume exceeds twenty percent (20%) of total monthly credit card payments; (b) corporate card volume surpasses ten percent (10%) of total monthly credit card payments; or (c) transactions over $1,000 represent more than three percent (3%) of total monthly credit card payments. Written notice precedes any changes.
Users agree to the Processing Terms available at https://legal.rainforestpay.com/processingterms, subject to future modifications with notice.
This document is incorporated within the Lemma Platform Agreement. Should conflicts arise regarding Processing Services, this agreement takes precedence. Merchants remain bound by the Platform Agreement's eligibility, security, prohibited use, indemnification, disclaimer, liability limitations, and dispute resolution provisions.
The term commences on the Effective Date and continues until either party terminates. The Platform may suspend or terminate access per the Lemma Platform Agreement. Provisions addressing accrued obligations, chargeback liability, and indemnification survive termination.

Acceptance occurs through onboarding confirmation, signed order forms, or service usage — whichever happens first. The authorizing individual represents they hold binding authority.
